Welcome to the Viazi Platform! It is a website and software platform where individuals and organisations can donate. It is important to note that Viazi is a business, not a charity. Please read these Terms carefully before using the Platform. These Terms apply to all visitors, Users and others who access or use the Platform. It defines Your relationship with Viazi when you are using the Platform. By using the Site You approve these Terms and the collection and processing of your personal data as contained in our Privacy Policy. If You don’t agree with these Terms, please refrain from using the Platform.
1. Definitions and User Types
In these Terms, the following capitalized words shall have the meanings set out against them:
“Viazi” or “We” means Viazi Oy (Ltd), located at Sakarintie 90, 92400 Ruukki, Finland.
“User” or “You” means any individual or organisation who visits, uses or otherwise engages with the Platform.
“Platform” or “Viazi Platform” means the Viazi website available at www.viazi.io, all of its subdomains, and the software solutions, Users and partners that enable the delivery and tracking of the Donations.
“Donor” means a User who uses or considers to use Viazi for making donations. Donor can be an individual or an organisation.
“Recipient” means a community or project that receives the donations made on the Platform.
“Supplier” means a business that supplies products or resources to be sold and donated on the Platform.
“Non-profit” means an organisation that acts as a middleman in delivering the donations to Recipients.
“Partner” or “Viazi’s Partner” refers to Suppliers and Non-profits and potentially other organisations that work with Viazi on delivering the Resources to Recipients.
“Client” means a company that licenses the Viazi Platform to drive its corporate social responsibility goals.
“Resource” means a product, service, or supply, either digital or physical donated on the Platform.
“Donation” means a purchase of a full Resource or partial payment of a Resource and granting Viazi a permission to deliver the Resource to the selected Recipient.
“Account” means a User profile created on the Platform for an individual, community or an organisation.
2. Platform Description
The Viazi Platform is an innovative solution designed to streamline charitable donations, ensuring that funds are used effectively and responsibly. The platform is built to achieve four key objectives. It aims to maximize the direct use of donations for the cause, deliver valuable resources to communities, provide timely impact data, and ensure the privacy and security of those supported.
3. Responsibilities of All Users
All Users are required to align with Viazi’s mission of efficiently delivering valuable resources to communities, accurately reporting the impact of donations, and ensuring the privacy and security of Recipients. The Platform must not be used for any personal, professional, or business purposes except as expressly permitted by these Terms. Users are strictly prohibited from contacting Recipients or other Users outside the Platform. Providing false or misleading information regarding the delivery or impact of donations is also strictly prohibited.
4. Your Account
You must be at least 18 years old to use the Platform. When creating a User Account, You agree to provide current, accurate and complete information about yourself, your organization or community. You agree to maintain the confidentiality of your Account and log-in credentials. You agree to accept responsibility for all activities that occur under your Account. We may terminate or suspend Your Account at any time, for any reason, including breach of these Terms, without prior notice or liability. Upon termination, Your right to use the Platform will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Platform. Breaching the Terms can also result in Us banning a User from creating an Account, making a payment or using any feature that requires identification. Viazi will in its sole discretion determine the duration of the ban, based on the nature of the breach.
5. Intellectual Property and Use of Materials
All information, software, images, videos, sounds, and any other material available on the Viazi Platform are the property of Viazi or its licensors and are protected by applicable copyright and intellectual property laws. Any reproduction, distribution, modification, or use of these materials in any form is strictly prohibited without the express written authorization of the rightful owner. By using the Platform, you assign all rights to Viazi to utilize any feedback, suggestions, or ideas you provide, without limitation or restriction. The Platform may include links to third-party websites or services. These linked sites are not under the control of Viazi, and Viazi is not responsible for the content, availability, or practices of any third-party sites or services. Accessing these links is at your own risk, and Viazi bears no liability for any issues arising from your use of third-party resources.
6. Permissions and Responsibilities
6.1. As a Donor on the Viazi Platform, you are permitted to: (i) find and select communities to support; (ii) purchase and donate resources directly to communities in need; (iii) follow up on the impact of your donation and monitor the progress of the supported community; (iv) discuss, review, and share information and content on the Platform; and (v) share Platform content externally when explicitly enabled by the Platform’s sharing features. All Donors are required to provide accurate personal information and payment details when making donations, and respect and protect the privacy of the Recipients at all times. Donors are strictly prohibited from sharing any Platform content outside the Platform without explicit permission and requesting the contact information of Recipients or attempting to contact Recipients directly.
6.2. As a Recipient on the Platform, you are permitted to: (i) register a community to receive donations; and (ii) receive donations through the Platform from Viazi Users. Recipients shall: (i) sign a separate agreement concerning the donations with Viazi and a partnered Non-profit organization; (ii) nominate an individual to act as the Platform account owner, with the option to designate additional account users if necessary; (iii) provide accurate and up-to-date information regarding the community or entity registered as a Recipient; and (iv) accurately report the receipt and impact of donations in accordance with Viazi’s instructions. As a Recipient, you are are prohibited from using the Platform to directly contact Platform Users outside of the Platform and accepting donations directly from Platform Users, bypassing the Platform’s processes.
7. Making Donations
When you make a donation, either by fully funding or contributing to a Resource, you grant Viazi and its partners ownership of the Resource for the purpose of delivery and transferring ownership to the final Recipient. All donations are one-time payments and can be made through available payment methods, including payment cards and digital wallets. Payment cards are subject to validation and authorization by your card issuer. If authorization is not received, Viazi will not be liable for any delay or failure in delivering your donation. You confirm that you have the legal right to make payments and use the selected payment method for your donation. When donating, you may be required to provide information such as your name, email, phone number, credit card details, and address. You are responsible for ensuring all information provided is accurate and complete.
8. Prices, Cancellations, Resources and Errors
We reserve the right to refuse, cancel, or modify your donation at any time due to reasons such as availability, pricing errors, incomplete or inaccurate information from you, or suspicion of illegal or unauthorized transactions. In case of cancellation, Viazi may redirect your donation funds to an alternative cause. Once a donation is made, ownership of the Resource is transferred to Viazi and its partners, and this transfer is final. However, Viazi may consider cancellations on a case-by-case basis. For inquiries, contact us at info@viazi.io. Viazi sources Resources from reliable suppliers to ensure prompt delivery at the lowest available price. However, in some cases, Resources may be purchased at a higher price for reasons like better availability from alternative suppliers. Viazi does not guarantee the accuracy or completeness of information, including prices, product images, or availability. We reserve the right to update or correct errors and omissions with or without prior notice, and there may be delays in updating Resource information on the Platform or in our external advertising.
9. Limitation of liability, Warranty Disclaimer
The entire liability of Viazi and its Partners shall be limited to the amount actually donated or USD$50 if nothing was donated. In no event shall Viazi or its Partners be liable for any special, incidental, indirect, or consequential damages, even if Viazi or any Partner has been advised of the possibility of such damages and even if the remedy fails of its essential purpose. In countries or states that do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, each party’s liability will be limited to the greatest extent permitted by law. The Viazi Platform and all related components and information are provided on an “as is” and “as available” basis without any warranties of any kind. Viazi expressly disclaims any and all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. You acknowledge that Viazi does not warrant that the Platform will be uninterrupted, timely, secure, error-free or virus-free, nor does it make any warranty as to the results that may be obtained from use of the Platform, and no information, advice or services obtained by you from Viazi or through the Platform shall create any warranty not expressly stated in these Terms. In countries that do not allow the exclusion of warranties the principles set forth in this section shall be applied to the greatest extent enforceable under applicable law.
10. Governing Law and Dispute Resolution
These Terms and Your use of the Platform is governed by the laws of Finland, excluding its conflicts of law rules. Your use of the Platform may also be subject to other local, state, national, or international laws. If You have any concern or dispute about the Platform, You agree to first try to resolve the dispute informally by contacting Viazi on info@viazi.io. If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the member country in which You are resident. You hereby represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
11. Miscellaneous
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach. These Terms may have been translated to several languages. You agree that the original English text shall prevail in the case of a dispute. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms or use of the Platform. You agree that these Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. How we notify you will depend on the significance of the change and your user type. If you are a Donor without a registered account, you will always have access to the most recent version of the Terms, which you must accept when making a donation. For organizational users with an account, we will make reasonable efforts to provide at least 30 days’ notice before any significant changes take effect. By continuing to access or use the Platform after those revisions become effective, You agree to the revised Terms. If You do not agree to the new terms, please refrain from using the Platform.
